These Terms of Use ("Terms") govern your access to and use of the websites, platforms, digital tools, content, advisory offerings, and services operated by Mood Interior Designs Inc., including its affiliated brands and offerings such as Mood Interior Designs, Mood Procure, and Mood Refresh (collectively, "Mood," "we," "us," or "our").
By accessing or using any Mood website, platform, or service (the "Services"), you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
1. Scope of Services
These Terms apply to:
- Visitors to Mood websites
- Users who submit contact forms, inquiries, or scheduling requests
- Participants in paid advisory sessions or consultations
- Users who create an account, build Design Boards, or otherwise access Mood Refresh or other digital tools
- Individuals who view, download, or rely on Mood content prior to entering into a written services agreement
Professional interior design, FF&E sourcing, procurement coordination, warehousing, and installation services are provided only pursuant to a separate written agreement (such as an engagement letter, proposal, or service agreement). Those agreements govern the scope, fees, timelines, deliverables, and risk allocation for professional services and will control in the event of any conflict.
2. Informational & Educational Nature of Content
All content made available through Mood websites or platforms — including images, renderings, plans, Design Boards, presentations, written materials, examples, and educational resources — is provided for general informational and educational purposes only.
Nothing on a Mood website or platform, including guidance or recommendations provided through Maya - Mood's AI-assisted design guide, constitutes architectural, engineering, construction, legal, financial, or professional interior design advice.
You acknowledge and agree that:
- Design concepts, visuals, and examples are illustrative only
- Outcomes depend on site conditions, budgets, contractors, vendors, and implementation
- You assume full responsibility for decisions made based on Mood content unless governed by a separate written agreement
3. Advisory Services (Including Mood Design Advisory)
Mood may offer paid advisory services, consultations, or strategy sessions ("Advisory Services").
Advisory Services:
- Are consultative and educational in nature
- Do not include drawings, specifications, construction documents, or procurement unless expressly stated
- Do not establish a full-service design relationship
You acknowledge that Advisory Services:
- Are not a substitute for professional design or construction services
- Do not include site verification, code compliance review, or contractor coordination
- Should not be relied upon as final or comprehensive project solutions
Mood makes no guarantees regarding outcomes, cost savings, timelines, or project feasibility resulting from Advisory Services.
4. Mood Refresh Platform
Mood Refresh is a digital interior design guidance platform operated by Mood, offering design chat and education, product recommendations, and Design Board creation, powered in part by Mood's AI-assisted design guide, Maya.
Use of Mood Refresh is governed by:
- These Terms
- The Mood Refresh–specific Terms of Use
- Any additional policies presented at the time of use
In the event of a conflict, the Mood Refresh–specific Terms of Use control with respect to platform functionality, Maya's AI-assisted guidance and outputs, Design Pass pricing, payments, refunds, and digital deliverables.
Mood Refresh access is free, with an optional one-time-purchase Design Pass available for extended tools and features. Mood Refresh does not operate on a subscription basis: a Design Pass is a single payment for a fixed duration selected by the user at checkout, does not renew automatically, and requires no cancellation.
5. No Professional Services Without Written Agreement
Accessing or using Mood websites, content, tools, or advisory services does not create a professional services relationship.
Mood is not obligated to provide:
- Interior design services
- Procurement services
- Installation services
- Site visits
- Project management
Unless and until a separate written agreement is executed.
6. Intellectual Property & License
All content, materials, designs, concepts, software, text, graphics, visuals, and tools made available by Mood — excluding the Design Boards and other content you create using the Services — are owned by or licensed to Mood Interior Designs Inc. and are protected by applicable intellectual property laws.
Subject to your compliance with these Terms, Mood grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes.
You may not:
- Reproduce, distribute, or publicly display Mood's underlying platform content, software, or proprietary materials, other than your own Design Boards as permitted below
- Use Mood's underlying platform content or materials for commercial purposes
- Modify or create derivative works from Mood's proprietary content, software, or tools
- Represent Mood concepts as your own
Your Design Boards.
You may download, export, and share the Design Boards you create for your own personal, non-commercial use, including sharing them with contractors, vendors, partners, or others in connection with your own home refresh project. This license to your own Design Boards does not extend to Mood's underlying platform, software, brand assets, or other proprietary content.
No ownership rights in Mood's underlying platform or proprietary content are transferred to you.
6A. User Uploads & Content You Submit
Your Content.
Mood Refresh allows you to upload images and other content — such as photos of your space, inspiration images, or materials used to build a Design Board (collectively, "Your Content") — for use with the platform and with Maya, Mood's AI-assisted design guide. You retain ownership of Your Content. Mood does not claim ownership over Your Content.
License You Grant to Mood.
By uploading or submitting Your Content, you grant Mood a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and display Your Content solely for the purpose of operating the Services and providing them to you — including processing Your Content through Maya, Mood's AI-assisted design guide, to generate design guidance, recommendations, and your Design Boards. This license ends when you delete Your Content or close your account, except to the extent copies are retained briefly in routine backups or as required by law. Mood does not use Your Content to advertise or promote its Services without your separate consent.
You Must Have Rights to What You Upload.
You represent and warrant that you own Your Content or otherwise have the necessary rights to upload it and to grant the license above, and that Your Content does not violate the privacy, publicity, intellectual property, or other rights of any third party.
Prohibited Content.
You may not upload or submit content that:
- Depicts any person without that person's consent, or depicts a minor in any circumstance without the consent of a parent or legal guardian
- Infringes the copyright, trademark, privacy, publicity, or other intellectual property rights of any third party
- Is unlawful, sexually explicit, obscene, hateful, harassing, threatening, or otherwise harmful
- Contains malicious code or is intended to interfere with the functioning of the Services
- Depicts a space, property, or product you do not have the right to photograph or share
Monitoring & Removal.
Mood does not routinely monitor user uploads, but reserves the right to review, remove, or disable access to any content that violates these Terms, with or without notice, and to disclose content and related account information where required by law or to protect the rights, property, or safety of Mood or others.
Copyright Complaints (DMCA).
If you believe content on Mood Refresh infringes your copyright, you may send a notice under the Digital Millennium Copyright Act to our designated agent at legal@moodinteriordesigns.com, including: (a) a signature of the copyright owner or authorized representative; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location on the Services; (d) your contact information; (e) a statement of good-faith belief that the use is unauthorized; and (f) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act on the copyright owner's behalf. Mood will respond to valid notices in accordance with applicable law.
7. User Responsibilities & Assumption of Risk
You agree to:
- Use the Services in compliance with applicable laws
- Provide accurate and truthful information
- Exercise independent judgment when implementing ideas or recommendations, including those provided by Maya, Mood's AI-assisted design guide
You expressly assume all risks associated with:
- Implementing design concepts
- Engaging third-party contractors or vendors
- Construction conditions, delays, or cost changes
- Site-specific limitations or safety conditions
8. Prohibited Conduct
You agree not to:
- Misuse or interfere with the Services
- Attempt unauthorized access to systems or data
- Upload or transmit malicious code
- Infringe upon the rights of Mood or others
- Use Mood content in a misleading or unlawful manner
- Upload prohibited content as described in Section 6A above
Mood reserves the right to restrict, suspend, or terminate access for violations of these Terms.
9. Design Pass Purchases & Third-Party Services
Mood Refresh's optional Design Pass is a one-time payment for a fixed duration (for example, 7, 14, 30, 60, 90, or 365 days). There is no subscription, no automatic renewal, and no recurring billing. Payments are processed through third-party payment providers.
Mood is not responsible for third-party platforms, tools, or services, including payment processors, scheduling tools, or analytics providers. Disputes related to third-party services must be resolved directly with the provider.
Refund terms, if any, for Design Pass purchases are set out in the Mood Refresh–specific Terms of Use.
10. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, Mood disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or availability.
Mood does not warrant that:
- Content, including guidance or recommendations generated by Maya, Mood's AI-assisted design guide, is error-free
- Services will meet your expectations
- Outcomes will align with projections or examples
11. Limitation of Liability
To the maximum extent permitted by law, Mood Interior Designs Inc. shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Services.
Mood's total liability, if any, shall not exceed the amount paid by you to Mood for the specific Service giving rise to the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Mood Interior Designs Inc. from any claims, damages, losses, liabilities, or expenses arising from your use of the Services, violation of these Terms, or infringement of any rights of a third party
13. Termination
Mood reserves the right, in its sole discretion, to suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to Mood or others.
14. Entire Agreement; Severability; Waiver
These Terms, together with any policies expressly incorporated by reference, constitute the entire agreement between you and Mood regarding use of the Services.
If any provision is held unenforceable, the remaining provisions shall remain in full force and effect. Failure to enforce any provision shall not constitute a waiver.
15. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.
